Representative Engagements

  • Prepare, negotiate and review contracts, provide general corporate advice and review and negotiate leases on behalf of an award-winning restaurant group.

  • Provide general corporate advice to numerous restaurants and restaurant owners including preparation, review and negotiation of restaurant purchases and sales including real estate.

  • Provide general corporate advice to a beverage company including review of financing documents and co-packer agreements.

  • Negotiated the business terms and drafted the documents in connection with the buyout of 50% of the shareholders of a family food business franchise. The transaction included successfully negotiating a release from a nationally recognized franchise company.

  • Provided general corporate advice to an award winning locally produced specialty food manufacturer including drafting agreements between the client and its vendors and contractors and representing the client in the sale of the business including drafting, negotiating and closing on the sale.

  • Advised and executed a family food services business restructuring including the transfer of assets to limited liability companies for asset protection purposes.

  • Provide on-going general corporate counsel representation of a family business in the food industry including negotiating the separation of an employee/shareholder.

  • Reviewed and negotiated the purchase and sale agreement on behalf of a food-based website client company and closed on the sale of the client company to a website aggregator.

  • Provided advice to a beverage company regarding its contracting with a distribution company.

  • Drafted, negotiated the purchase agreement and closed on the sale of a food manufacturer.

  • Represented, reviewed the purchase and sale agreement and negotiated the terms of sale of the assets of a hospitality company to a private equity backed purchaser.

  • Provide general corporate counsel to a water sports school. Our representation includes advising and documenting transitions such as buy-ins and buy-outs within the company, reviewing and preparing agreements with clients and risk management advice.

  • Ongoing representation of fitness companies including yoga and other sports as general corporate counsel. Our representation includes advice regarding a proposed sale, risk management, review and negotiation of leases and drafting of agreements with clients and advising and documenting transitions such as buy-ins and buy-outs.
